5. Pricing and Payment / 价格与支付
Pricing: All prices are quoted in US Dollars (USD) unless otherwise specified and do not include shipping, insurance, taxes, or duties, which are the responsibility of the customer.

Payment Terms: Standard payment terms are 30% deposit upon order confirmation and 70% balance before shipment. For large projects, we may offer alternative payment terms subject to our credit approval.

Late Payments: If payment is not received by the due date, we reserve the right to charge interest on the outstanding amount at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We also reserve the right to suspend or cancel any outstanding orders or services.
逾期支付：若款项未按期支付，我方有权按月利率1.5%或法律允许的最高利率（以较低者为准）收取未付金额利息，并保留暂停或取消未完成订单及服务的权利。
6. Shipping and Delivery / 运输与交付
Shipping: We offer worldwide shipping via sea, air, or land transportation. Shipping costs and delivery times will be specified in your order confirmation.
运输：我们提供全球海运、空运及陆运服务，运费与交付时间将在订单确认中列明。
Delivery: Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by factors beyond our control, including but not limited to transportation delays, customs clearance, natural disasters, or labor strikes.
交付：交付时间仅为预估，不做保证。因运输延误、清关、自然灾害、劳工罢工等不可控因素导致的延误，我方不承担责任。
Risk of Loss: Risk of loss or damage to products passes to the customer upon delivery to the carrier.
损毁风险：产品交付承运人后，损毁或灭失风险即转移至客户。
Inspection: Customers should inspect all shipments upon receipt and notify us of any damage or missing items within 7 business days of delivery.
验收：客户应在收货后立即查验，并在7个工作日内就破损或缺件问题通知我方。
7. Installation and Commissioning / 安装与调试
Installation Services: We offer professional installation and commissioning services for our systems worldwide. The scope of installation services will be specified in your contract.
安装服务：我们为系统提供全球范围内专业安装与调试服务，服务范围将在合同中列明。
Customer Responsibilities: The customer is responsible for providing adequate site preparation, utilities (water, electricity, etc.), and access to the installation site as required.
客户责任：客户负责按要求完成场地准备、提供水电等公用设施，并保证安装场地可正常通行作业。
Commissioning: After installation, we will commission the system to ensure it operates according to the specified technical parameters. The customer will be required to sign a commissioning acceptance form upon successful completion.
调试：安装完成后，我方将对系统进行调试，确保其符合技术参数要求。调试合格后，客户需签署调试验收单。
Warranty Period: All our products come with a standard 12-month warranty from the date of commissioning or 18 months from the date of shipment, whichever comes first.
保修期：所有产品标准保修期为调试合格之日起12个月，或发货之日起18个月，以较早者为准。
Warranty Coverage: The warranty covers defects in materials and workmanship under normal use. It does not cover damage caused by improper installation, misuse, abuse, neglect, accidents, modifications, or normal wear and tear.
保修范围：保修期覆盖正常使用下的材料及工艺缺陷，不包含因安装不当、误用、滥用、疏忽、意外、改装或正常损耗导致的损坏。
Warranty Remedies: During the warranty period, we will, at our option, repair or replace any defective products or parts free of charge. We will also provide technical support to resolve any issues with the system.
保修服务：保修期内，我方将自行选择维修或免费更换有缺陷的产品或零部件，并提供技术支持解决系统问题。
Exclusions: The warranty does not cover consumable items such as filters, membranes, and light bulbs. It also does not cover any costs incurred by the customer for travel, labor, or other expenses related to warranty service, unless otherwise agreed in writing.
除外责任：保修期不包含滤芯、膜、灯泡等易耗品，亦不覆盖客户因保修服务产生的差旅、人工及其他费用，除非另有书面约定。
9. Intellectual Property / 知识产权
All intellectual property rights in our products, designs, technical specifications, drawings, software, and website content are owned by Zhongkehai.
我方产品、设计、技术规格、图纸、软件及网站内容的所有知识产权归中科海所有。
You may not copy, reproduce, distribute, modify, or create derivative works from any of our intellectual property without our prior written consent.
未经我方事先书面许可，不得复制、分发、修改或创作衍生作品。
You may use our website content only for your personal, non-commercial use in connection with purchasing our products or services.

11. Limitation of Liability / 责任限制
To the fullest extent permitted by law, Zhongkehai's total liability under these Terms, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the customer for the specific products or services giving rise to the claim.
在法律允许的最大范围内，中科海在本条款项下的全部赔偿责任总额，不超过客户就相关产品或服务已支付的总金额。
In no event shall Zhongkehai be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business, or loss of data, arising out of or in connection with these Terms or the use of our products or services.
在任何情况下，中科海均不对任何间接、附带、特殊、后果性或惩罚性损害承担责任，包括但不限于利润损失、收入损失、业务损失或数据损失。
You agree to indemnify, defend, and hold harmless Zhongkehai, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
您同意对中科海及其管理人员、董事、员工及代理人进行赔偿、辩护并使其免受损害，赔偿范围包括因以下情形产生的全部索赔、损害、损失、责任、成本及费用（含合理律师费）：

Any dispute arising out of or in connection with these Terms shall first be resolved through friendly negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Qingdao, China, in accordance with its then-current arbitration rules. The arbitration award shall be final and binding on both parties.
因本条款引起或与之相关的任何争议，应首先通过双方友好协商解决。若30日内协商不成，应提交中国国际经济贸易仲裁委员会（CIETAC），按照其届时有效的仲裁规则在中国青岛进行仲裁。仲裁裁决为终局裁决，对双方均具有约束力。
We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor strikes, government regulations, or shortages of materials or supplies. In such event, we will notify you as soon as possible and make reasonable efforts to resume performance.
因不可抗力导致我方未能或延迟履行本条款项下义务的，不承担责任，包括但不限于自然灾害、战争、恐怖主义、劳工罢工、政府管制、材料或供应短缺。在此情况下，我方将尽快通知您，并尽合理努力恢复履行。
These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, and representations.
